    Regulatory Action: SEC FinalSanctions: Civil and Administrative Penalt(ies) /Fine(s); Cease and desist; censure · Fine: $95,000 · Begun Feb 15, 2022 · Resolved Sep 15, 2022 · Settled · Docket 3-21079

The U.S. Securities and Exchange Commission ("SEC") alleged that a covered associate of the registrant violated rule 206(4)-5 under the Investment Advisers Act of 1940, the SEC's "pay-to-play" rule (the "rule"), which prohibits an exempt reporting adviser from providing compensated advisory services within two years after a covered associate makes certain political contributions. The alleged violation of the rule was based on a $1,000 campaign contribution that one of the registrant's covered associates made in 2018 to the campaign of a candidate for governor of California. The governor serves on, and appoints other members to, the board of a government entity that selects investment advisers for a California state university system. That government entity had previously, between 7 and 13 years prior to the 2018 contribution at issue, invested in three closed-end funds advised by the registrant.

The registrant and the SEC agreed to settle the matter on terms outlined by the SEC staff, pursuant to which, without admitting or denying liability, the registrant agreed to pay a $95,000 penalty. The order noted that the rule does not require a showing of actual intent to influence a candidate for elected office, and thus there is no such finding, and that the SEC is not required to show that the registrant was aware that it was violating any rule. The registrant paid the $95,000 penalty on September 19, 2022. No information Filed
