This matter involves Kudu Investment Holdings, LLC's ("KIH") violations of the reporting provisions of rule 204(b)-1 under the Investment Advisers Act of 1940 (the "Advisers Act"), which requires certain investment advisers with at least $150 million in private fund assets under management to file and periodically update a report on form PF to provide information about the private funds they manage. Pursuant to an order entered by the U.S. Securities and Exchange Commission (the "commission") on December 13, 2024 against KIH, the commission found that, from 2019 through 2023, KIH was subject to the reporting requirements of rule 204(b)-1, but failed to file or update a report on form PF.

Kih was ordered to pay a civil money penalty of $125,000, which was paid on December 13, 2024.

On December 13, 2024, the commission entered an order instituting administrative and cease-and-desist proceedings against kih. Pursuant to the order, the commission found that, from 2019 through 2023, kih was subject to the reporting requirements of rule 204(b)-1 under the Advisers Act, but failed to file or update a report on form PF. The order recognized the cooperation afforded the commission staff by kih. Kih submitted an offer of settlement without admitting or denying the findings in the order and agreed to: (I) cease and desist from committing or causing any violations and any future violations of rule 204(b)-1 under the Advisers Act, (II) a censure and (III) pay a civil money penalty of $125,000.
