In certain circumstances, ACM may provide non-discretionary advisory services, in which case the client retains final decision-making authority. Tailored Advisory Services ACM’s advisory services are tailored to the specific needs of each client. Clients may impose reasonable restrictions on investing in certain securities or types of securities. Assets Under Management As of December 31, 2025, ACM managed approximately $300 million in regulatory assets under management on both a discretionary and non-discretionary basis. Item 5. Fees and compensation

Asymmetric Capital Management, LLC (“ACM”) is compensated for its advisory services through asset-based advisory fees. Fees are negotiable and may vary based on account size, complexity of services, and investment strategy utilized. Asset-Based Fees ACM typically charges an annual advisory fee based on a percentage of assets under management. The annual fee generally ranges from 0.20% to 1.00% of assets under management. Performance-based fee arrangements create an incentive for ACM to take greater risks in managing client accounts. ACM has adopted policies designed to mitigate these conflicts. Other Fees and Expenses Clients should be aware that the advisory fee does not include certain other costs and expenses. These may include brokerage commissions, custodial fees, exchange fees, clearing fees, transaction costs, mutual fund expenses, ETF internal expenses, margin interest, and options or futures trading costs. Negotiability of Fees Advisory fees are negotiable at ACM’s discretion. Similarly situated clients may pay different fees based on account size, services provided, and other factors. Termination of Agreement Clients may terminate the investment advisory agreement upon written notice. Fees will be prorated through the date of termination, and any unearned prepaid fees will be refunded. Compensation from Other Sources As disclosed in Item 10, Lorenzo Paloscia is affiliated with DNA Capital, an introducing broker. This affiliation may create potential conflicts of interest.

Item 6. Performance-based fees and side-by-side management

Asymmetric Capital Management, LLC (“ACM”) may enter into arrangements to receive performance-based fees for certain qualified clients. Performance-based fee arrangements are only offered to clients who meet the definition of a qualified client under Rule 205-3 of the Investment Advisers Act of 1940. Conflicts of Interest Performance-based fee arrangements create a potential conflict of interest because ACM has an incentive to favor accounts that pay performance-based fees over those that pay only asset-based fees. ACM also has an incentive to take greater risks in accounts subject to performance-based compensation.
