The story

Founded by Andy Florance in 1987.1

Origins

CoStar Group was founded in 1987 by Andrew C. Florance in Washington, D.C., as one of the first companies that digitized and aggregated property data before the Internet became widely available. In 1998, the company went public via an initial public offering on Nasdaq, raising $22.5 million. In June 2004, the lawsuit CoStar Group, Inc. v. LoopNet, Inc. became a landmark case in copyright law about the role of an Internet service provider in monitoring copyrighted content posted on its servers. In October 2009, the company acquired a building from the Mortgage Bankers Association for $41.3 million, which served as the company's headquarters. The building had sold for $97 million two years earlier, with CoStar Group claiming that it had used its analytics data to determine the right time to buy. In 2025, CoStar Group moved its headquarters to Arlington, Virginia.

Growth and expansion

Throughout the 2010s, CoStar Group expanded its footprint in the commercial property industry with a series of acquisitions in North America and Europe. In 2009, it acquired Property and Portfolio Research company Grecam, joining the company's existing Grecam service. In 2012, it acquired the online marketing site LoopNet for $860 million. With the acquisition, CoStar Group also took over the Loopnet properties BizBuySell and LandsofAmerica. Two years later, the company acquired Apartments.com for $585 million, as well as Apartment Finder the following year.

From 2017 through 2020, the company acquired the online marketplaces Westside Rentals, ForRent.com (previously owned by Dominion Enterprises), Cozy Services, Off Campus Partners, and Ten-X; in addition to the hotel research and analytics firm STR, the residential mobile application provider Homesnap. In April 2021, it acquired Homes.com, a prominent residential real-estate website, from Dominion Enterprises for $156 million in cash. In February 2025, CoStar acquired the 3D spatial mapping company Matterport for $1.6 billion.

Overseas, its European division acquired the German real-estate business data company Thomas Daily and the Spanish online marketplace and information provider Belbex in 2016. From 2018 through 2023, it acquired the British online marketplace Realla, the German real-estate data company Emporis, the French online marketplace BureauxLocaux, and the British property portal OnTheMarket.

In April 2025, CoStar appointed former S&P Global Ratings president John Breisford, former Etsy CFO Rachel Glaser, and former Walt Disney Company CFO Christine McCarthy as independent directors. Louise Sams was appointed independent chair of the board.

After initially taking a 16.9% stake in Australian real estate information company Domain Group, CoStar entered an agreement to acquire 100% of the company for US$1.92 billion in May 2025.

In May 2026, CoStar Group agreed to acquire Zonda, a provider of new-home construction data and homebuilder software, from private equity firm MidOcean Partners for $800 million in cash. The deal gave CoStar Group Zonda's data and software for the residential homebuilding sector, along with its new-construction listing sites NewHomeSource.com and Livabl. The acquisition came amid antitrust scrutiny of CoStar's commercial real estate data business, including class-action lawsuits alleging it holds a dominant share of online commercial listings and has used that position to limit competition; CoStar has denied the allegations. The purchase was completed on August 21, 2026.

Other activities

In 2019, CoStar Group announced that Oxford Economics would provide the economic data and forecasts used in its products.

In 2022, Business Insider reported that over 29 then-current and former employees had claimed to have been excessively monitored and micromanaged – including with unscheduled check-in video calls made by the company's IT department – as well as being publicly berated and arbitrarily fired in some cases. The company made efforts to take down criticism of itself on various social media platforms. CoStar Group denied the allegations, contending that the discontent had stemmed from the company's high expectations.

In 2024, CoStar Group purchased an estimated $35 million worth of airtime at Super Bowl LVIII for four Super Bowl commercials advertising its subsidiaries Homes.com and Apartments.com, which The New York Times described as an effort to rival competitor services such as Zillow and Realtor.com.

CoStar has been criticized for anticompetitive and monopolistic business practices, often using aggressive litigation and "public-relations warfare" to "push [competitors] to the brink of collapse or weaken them enough to make them soft targets for an acquisition".

Risk factors and legal proceedings

The risks CoStar Group names in Item 1A of its 10-K filed Feb 26, 2026: 38 risks under these headings, as written.18

  • Risks related to our business
  • We may not be able to attract and retain new clients, which could adversely affect our revenue and financial position. Our success and revenue depend on attracting and retaining subscribers to our information, analytics, and online marketplace services, which generate the largest portion of our revenue.
  • We may not be able to successfully develop and introduce new or upgraded online marketplace services, information, and analytics that are attractive to our users and advertisers or successfully combine or shift focus from current services with less demand, which could decrease our revenue and our profitability.
  • Competition could render our services uncompetitive and reduce our profitability. The markets for information systems and services and for online marketplaces in general are highly competitive and rapidly changing in response to changing consumer behavior and new technological advancements.
  • Our operating results and revenue are subject to fluctuations, and our quarterly financial results may be subject to market cyclicality, each of which could negatively affect our stock price.
  • Global economic uncertainties and downturns or a downturn or consolidation in the real estate industry may decrease customer demand for our services and adversely affect our business and results of operations.
  • If we are unable to hire qualified persons for, or retain and continue to develop our sales force, or if our sales force is unproductive, our revenue could be adversely affected.
  • Our internal and external investments may place downward pressure on our operating margins.
  • Introducing new products may be difficult and expensive. If we are unable to do so successfully, our brands may be adversely affected, and we may not be able to maintain or grow our current revenue and profit levels.
  • We may be unable to increase awareness of our brands, including CoStar, LoopNet, Matterport, BizBuySell, STR, Apartments.com, Homes.com, Land.com, OnTheMarket, and Domain which could adversely affect our business.
  • If our websites are not prominently featured in internet search engine results, if internet search engines integrate technologies or adopt ranking methodologies that decrease traffic to our websites, or we are unable to maintain or grow traffic to our marketplaces, our business and operating results could be adversely affected.
  • If real estate professionals or other advertisers reduce or cancel their advertising spending with us and we are unable to attract new advertisers, our operating results would be harmed.
The other 27 risks
  • If we are not able to successfully identify, finance, integrate, and/or manage costs related to acquisitions, our business operations and financial position could be adversely affected.
  • We may not be able to complete certain strategic transactions if a proposed transaction is subject to review or approval by regulatory authorities pursuant to applicable laws or regulations.
  • We may be unable to realize the benefits of the acquisition of either Matterport or Domain, which could have an adverse effect on us.
  • If third-party suppliers upon which Matterport relies are not able to fulfill its needs, Matterport’s ability to timely and cost effectively bring its hardware products to market could be affected.
  • Cyberattacks and security vulnerabilities could result in material harm to our reputation, business, and financial condition.
  • Technical problems or disruptions that affect either our customers’ ability to access our services, or the software, internal applications, database, and network systems underlying our services, could damage our reputation and lead to reduced demand for our online marketplace services, information, and analytics, lower revenue and increase costs.
  • The significant costs associated with undertaking a large infrastructure project to build out our campus in Richmond, Virginia, have impacted and will continue to impact our financial condition and results of operations.
  • Our current or future geographic expansion plans may not result in increased revenue, which may negatively impact our business, results of operations, and financial position.
  • We are subject to a number of risks related to acceptance of credit cards and debit cards and facilitation of other customer payments.
  • Climate-related events and other events beyond our control could harm our business.
  • Attention to corporate responsibility matters may require us to incur additional costs or otherwise adversely impact our business.
  • Risks related to our data, intellectual property, and listings
  • If we are not able to obtain and maintain accurate, comprehensive, or reliable data, we could experience reduced demand for our online marketplace services, information, and analytics.
  • If we are unable to enforce or defend our ownership and use of intellectual property, our business, brands, competitive position, and operating results could be harmed.
  • Use of new and evolving technologies, including AI, could impact our ability to protect our data and intellectual property from misappropriation by third parties.
  • We may be subject to legal liability for collecting, displaying, or distributing information, or integrating generative AI Technologies in our products and services.
  • If we are unable to obtain or retain listings from real estate brokers, agents, property owners, and apartment property managers, our marketplace services could be less attractive to current or potential customers, which could reduce our revenue.
  • We may not be able to maintain or establish relationships with third-party listing providers, which could limit the information we have to power our products and services and impair our ability to maintain stable data feeds and attract or
  • Some of our products or services contain third-party open source software components, and failure to comply with the terms of the underlying open source software licenses could restrict our ability to deliver our products or services or subject us to litigation or other actions.
  • Risks related to our international operations
  • International operations expose us to additional business risks, which may reduce our profitability.
  • Fluctuating foreign currency exchange rates may negatively impact our business, results of operations, and financial position.
  • Risks related to our indebtedness
  • We have a significant amount of indebtedness, which could decrease our flexibility and adversely affect our business, financial condition, and results of operations.
  • A lowering or withdrawal of the ratings assigned to our debt securities by rating agencies may increase our future borrowing costs, reduce our access to capital, or result in the loss of certain covenant suspensions.
  • Risks related to regulatory compliance and legal matters
  • Our actual or perceived failure to comply with privacy, security and evolving AI and data-related laws and standards could adversely affect our business, financial condition, and results of operations.
  • Changes in tax laws, regulations, or fiscal and tax policies, or the manner of their interpretation or enforcement could adversely impact our financial performance.
  • Third-party claims, litigation, regulatory proceedings, or government investigations to which we are subject or in which we become involved, regardless of their merit, may significantly increase our expenses and adversely affect our stock price.
  • We do not currently intend to pay dividends on our common stock and, consequently, your ability to achieve a return on your investment will depend on appreciation in the price of our common stock.
  • Stock repurchases under our Stock Repurchase Program are discretionary, and we cannot guarantee that our Stock Repurchase Program will achieve the desired objectives. Share repurchases diminish our cash reserves and could also increase the volatility of the trading price of our common stock.

Legal proceedings

Currently, and from time to time, we are involved in litigation incidental to the conduct of our business, including, among others, the legal actions discussed under “Contingencies” in Note 12 “Commitments and Contingencies” of the Notes to our Consolidated Financial Statements included in Part IV of this Report. While our management presently believes that the ultimate outcome of these proceedings, individually and in the aggregate, will not materially harm our business, financial position, future results of operations, or liquidity, legal proceedings are inherently uncertain, and unfavorable rulings could, individually or in the aggregate, have a material adverse effect on our business, financial position, future results of operations, or liquidity.
